           that was executed and filed pursuant NJSA 42.

                           Instructions for Form L-111 

                 RESTATED CERTIFICATE -  LIMITED LIABILITY COMPANY 
                                   RESTATED ONLY 
                                    (Title 42) 

This form is used to restate the Certificate of Incorporation filed in New Jersey.  It takes all 
amendments previously filed and restates them as one document.  If you are amending instead of 
restating the Certificate of Incorporation, you should file Form L-102 Certificate of Amendment.  
If you are both amending and restating the Certificate of Incorporation, file Form L112.  

STATUTORY FEE:  $100 
The MANDATORY fields are:  

Field #1 --Business Name 
List the name as it appears on the records of the State Treasurer. 

Field #2  -- Identification Number 
Provide the 10-digit corporation number as issued by the State of New Jersey. 

Field #3  -- OTHER PROVISIONS (as needed) 
Specify other information such as the effective date if it is other than the filing date.  The 
effective date cannot be before the filing date nor can it be more than 30 days after the filing 
date.  The filing date is the date the document is received for processing. 

Field #4 -- ATTACHMENTS (if applicable) 
Include a list of discrepancies between the existing and restated certificate. 

ATTESTATIONS 
Add statements that indicate that the signers are authorized to sign on behalf of the LLC, and 
that the intent is to restate and integrate previous filings only. Form L-111 provides the 
statements. 

EXECUTION (Signature/Date) 
An authorized representative must sign. Also, list the date of execution (signature).
