How to Reinstate Print Form
Domestic Limited Partnership (L.P.) (U.C.A. Section 48-2a-203.5)
Domestic Limited Liability Company (L.L.C.) (U.C.A. Section 48-2c-1208)

You may only reinstate within two, (2) years of becoming Involuntarily Dissolved.
Step 1: Resolve outstanding state tax obligations at the time you apply for reinstatement.
Involuntarily Dissolved profit and nonprofit corporations must submit a Letter of Good Standing
(tax.utah.gov/forms/current/tc-42.pdf) from the Utah Tax Commission with the Application for Reinstatement.

Non-profit 501C-3 corporations:
You must establish a master file and verify your Federal 501(c)(3) exempt status with the Utah State Tax
Commission by filing Tax Commission form TC 161 along with a copy of your Federal 501(c)(3) determination
letter before the Tax Commission can issue a Letter of Good Standing. Form TC-161 is available on the Tax
Commissions’ website (tax.utah.gov/forms/current/tc-161.pdf). If you do not have your Federal 501(c) (3)
determination letter, you may obtain a copy or proof that you have the exemption by calling the IRS at
1-877-829-5500. You will receive a response within 10 days via the U S Postal Service. Link to Tax Commission Forms
Step 2: Complete reinstatement application:

*Appoint a new Registered Agent and Office with a Utah address and be sure this new Registered Agent signs as
indicated on the Application.

Step 5: Where to file: Submit your completed application for reinstatement, the Letter of Good Standing (if
applicable), and the Registration Information Change Form to the Division of Corporations. You may file in
person, mail, or fax. Means of payment are, cash, check, money order made payable to the "State of Utah". If you
are faxing you must include, on a cover sheet, the number of a VISA, MasterCard or American Express with the
